Terms of Service

1. Acceptance of Terms

By accessing or using the Sabercrown website, React component library, SaaS platform, APIs, or related services (collectively, the "Services"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree, you must discontinue use of the Services.

2. Intellectual Property & Use License

Unless otherwise agreed in a separate written agreement, all source code, components, documentation, and other materials provided as part of the Services ("Sabercrown Materials") are owned or licensed by Sabercrown. You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Services and to integrate the React components into your applications, subject to these Terms.

This license does not transfer ownership and prohibits modifying, reproducing, distributing, sublicensing, or reselling the Sabercrown Materials except as expressly permitted in your agreement with Sabercrown. You may not reverse engineer, decompile, or attempt to extract the source of any part of the Services except where such restrictions are prohibited by law.

3. Client Code & Deliverables

To the extent Sabercrown delivers custom React components, integration code, or other software specifically developed for you ("Client Deliverables"), and provided all applicable fees are paid, you will own the copyright in those Client Deliverables, excluding any Sabercrown pre-existing IP, libraries, or generic tooling embedded in them.

Sabercrown retains all rights in its underlying tools, frameworks, generic components, and know-how used to produce the Client Deliverables and may reuse them in work for other clients, as long as no your confidential information is disclosed.

4. Third-Party Dependencies

The Services and Client Deliverables may depend on third-party libraries, packages, APIs, or services (including open-source software) ("Third-Party Dependencies"). Where a separate license is required for production use, you are responsible for reviewing and complying with those third-party licenses.

Sabercrown will make reasonable efforts to inform you where specific paid licenses are required, but you assume all responsibility for obtaining and maintaining any necessary third-party rights for your use of the Client Deliverables in your environment.

5. Acceptable Use

You agree not to misuse the Services, including (without limitation) by attempting unauthorized access, probing or scanning systems, interfering with other users, circumventing rate limits or security mechanisms, distributing malware, or using the Services to build a competing offering. Sabercrown may suspend or terminate access to the Services immediately if it reasonably believes you are in breach of this section or applicable law.

6. Service Availability

The Services are provided on an "as available" basis and may be subject to interruptions, maintenance windows, or failures of infrastructure providers. Sabercrown does not guarantee uninterrupted or error-free operation. You are responsible for implementing appropriate backups, redundancy, and fallbacks in your own systems.

7. Payments, Refunds & Cancellations

Where the Services are provided on a subscription or project basis, fees, billing cycles, and payment terms will be described in the applicable order form or agreement. Unless otherwise stated, all fees are non-refundable and exclusive of any taxes, which you are responsible for paying.

Sabercrown may, at its sole discretion, consider refund requests on a case-by-case basis. If a refund is granted, Sabercrown may deduct processing fees and retain ownership of any unpaid or refunded work product, which you must cease using unless otherwise agreed in writing.

8. Disclaimer

The Services and all Sabercrown Materials are provided "as is" and "as available". Sabercrown makes no warranties, expressed or implied, and disclaims all other warranties including (without limitation) implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. You are solely responsible for evaluating the suitability of the Services for your use case, including in production environments.

9. Limitations of Liability

In no event shall Sabercrown, its owners, employees, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages (including, without limitation, loss of profits, loss of data, business interruption, or loss of goodwill), whether in contract, tort, or otherwise, arising out of or in connection with the use or inability to use the Services, even if Sabercrown has been advised of the possibility of such damages. To the maximum extent permitted by law, Sabercrown's aggregate liability for all claims relating to the Services shall not exceed the total fees paid by you to Sabercrown for the Services in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Sabercrown and its affiliates, officers, and employees from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your content or code, or your violation of these Terms or applicable law.

11. Modifications to the Terms

Sabercrown may revise these Terms of Service at any time by posting an updated version on the website or within the application. By continuing to use the Services after changes become effective, you agree to be bound by the then-current version of these Terms. Where changes are material, Sabercrown will make reasonable efforts to notify you via the site, email, or dashboard notice.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Sabercrown operates, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services will be resolved exclusively in the competent courts of that jurisdiction, and you consent to personal jurisdiction and venue in those courts.

13. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. You may not assign or transfer these Terms without Sabercrown's prior written consent. Sabercrown may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.
